Ahern Rentals (ARI) is seeking a corporate paralegal to provide assistance and support to the VP of Legal & General Counsel (GC).

Essential Duties and Responsibilities:

  • Communicate regularly on the status of contracts with the GC and ARI business contacts.
  • Contract compliance including monitoring, identifying necessary action items and reporting on terms of contracts.
  • Assist in the continuing development and revision of template agreements, key clauses and assist in the management of the template database.
  • Develop and draft, with direction from the GC, appropriate contract language to protect the interests of ARI.
  • Create and maintain contract database. Research and develop the processes and tools to enhance the contract administration function.
  • Review and process legal bills from outside counsel; develop and implement reports for monitoring outside legal spending. Familiarity with CounselLink e-billing and matter management solution a plus.
  • Conduct research and resolve routine law questions under the guidance of the GC.
  • Handle information requests to and from ARI personnel, including research of legal matters and historical information; review documents and transmit information and documents to outside counsel and company personnel with minimal guidance from GC.
  • Prepare minutes and other routine corporate secretary documents for ARI and its affiliated entities; keep accurate minute books; prepare and file state and local filings.
  • Furnish assistance in financing and business development transactions, including due diligence, and review and preparation of schedules.
  • Assist in litigation management.
  • Other tasks as required under supervision of the GC

Qualifications:

  • Paralegal Degree or Certification required; Bachelors Degree preferred.3—5 years corporate paralegal experience.
  • A thorough understanding of the contract process including contract evaluation, negotiation, approval, tracking and close-out.
  • Driven and self-motivated with a strong desire for learning.
  • Extremely organized with a strong sense of priority, urgency and commitment to deadlines.
  • Exceptional writing skills.
  • Commitment to quality through demonstrated accuracy and thoroughness.
  • Ability to follow instructions, respond to management directions.
  • Dependable to complete work in a timely, excellent, and thorough manner.
  • Ability to manage a heavy workload and prioritize multiple projects.
  • Ability to work independently while functioning well in a team environment.
  • Ability to understand general business operations, issues and dynamics beyond the scope of basic legal issues.
  • Ability to communicate effectively and collaborate with members of other departments in order to support their functions as well as to assist them in supporting the Legal Department.
  • Strong computer skills, including proficiency with Microsoft Office products (Word, PowerPoint & Excel) and the ability and willingness to learn new software applications (e.g., CounselLink).
  • Must be able to maintain confidentiality of ARI’s most sensitive and critical information.
  • Must be able to read, write, and speak English
  • Must be able to pass drug test and background check
  • Must be able to provide Motor Vehicle Record at time of job offer (current within 15 days)
